KODA Capital is a research and decision-support technology platform. It is not a licensed broker, dealer, futures commission merchant (FCM), investment adviser, asset manager, custodian, or any other regulated financial entity.
What we are not registered with

- Financial Services Agency — FSA (Japan), or Financial Markets Authority of any other jurisdiction
What the platform does
KODA Capital provides probabilistic decision-support computations on capital structure events for publicly listed issuers. It does not execute trades, hold customer funds, or provide regulated investment advice. Users requiring real-money execution must engage their own licensed broker, dealer, or custodian.
CVM-specific operations
For Brazilian listed issuers, the platform’s execution module attempts to honour CVM Resolution 77 participation caps for treasury share operations and to flag CVM Resolution 160/161 considerations for public offerings. These controls are computational aids and are not a substitute for legal review by qualified Brazilian counsel.
Future plans
Live execution capabilities, if introduced in the future, will require establishment of a regulated entity in the appropriate jurisdiction (likely an ADGM FSRA-licensed entity, paired with regional broker partnerships in Brazil under CVM oversight). Until and unless that occurs, no live execution is offered.
