Terms of Use
1. Operator
KODA Capital is a research and decision-support technology platform operated by Trabal Group, with technology provided by Solunai Co., Ltd. (Tokyo). It is not a broker, dealer, futures commission merchant (FCM), investment adviser, or any other regulated financial institution.
2. Jurisdiction and arbitration
These terms are governed by the laws applicable in Abu Dhabi Global Markets (ADGM). Any dispute arising from use of the platform shall be resolved by binding arbitration administered by the ADGM Arbitration Centre under its rules then in force, conducted in English.
3. Acceptable use
The platform is provided for research, scenario analysis, decision support, and reviewable computation in connection with capital structure events for publicly listed issuers. Users may not redistribute platform output without written permission, may not represent platform output as the work of any other party, and may not use the platform to execute trades against any regulated venue.
4. No advisory relationship
Use of the platform does not create a fiduciary, advisory, broker-dealer, or any other regulated relationship between the user and the operator. Platform output is not investment advice and is not a recommendation to buy or sell any security or financial instrument.
5. Pilot stage
KODA Capital is currently in a controlled pilot phase. Onboarding is by invitation only. The platform may be modified, paused, or withdrawn at any time during the pilot.
6. Intellectual property
All platform content, including but not limited to the council architecture, decision algorithms, research methodology, user interface, and translated content across supported languages, is the intellectual property of Trabal Group and Solunai Co., Ltd. Permitted use does not transfer any rights of ownership.
7. Limitations and warranties
The platform is provided “as is” without warranties of any kind, express or implied. The operator’s liability for any claim arising from use of the platform during the pilot phase is limited to zero. Users acknowledge that capital structure decisions involve substantial risk and are responsible for engaging qualified counsel and advisors before acting on any platform output.
8. Force majeure
Neither party shall be liable for failure or delay in performance arising from causes beyond reasonable control, including but not limited to acts of war, sanctions, regulatory action, infrastructure failure, or third-party data feed disruption.
